1 Applicability brand
- 1.1 Rototime is a brand name of Factory Automation Controls Technology (FACT), North America (NA) LLC. Shipping location: 1040 Dundee ave, East Dundee, IL 60118 USA.
- 1.2 Delivery and Payment shall apply to all Rototime goods for which a purchase order has been issued or executed by a written email.
2 Prices
- 2.1 All prices are in US Dollar and to be understood free from deductions in US dollar, not included packaging and transportation.
- 2.2 Transportation and packaging cost will be advised to the client upon scheduled delivery and method.
3 Terms of payment
- 3.1 All International sales are prepaid, including freight if selected.
- 3.2 Domestic invoices are due upon goods received and/or within 30 days or other terms agreement. Invoices are due without delay in cases where clients are entitled to remedies for warranties.
- 3.3 Advanced payment for blanket and special modified units.
- 3.4 Should client be delaying payment an additional fee of 1.5% be added per week. Rototime discretion has the right to refuse future sales, deny credit terms, and require prepayment on sales for 1‑year. 1.5% weekly
- 3.5 Client shall contract all necessary fire, water, and theft insurance at their own costs.
4 Delivery conditions
- 4.1 Rototime will ship all products under the INCOTERMS, FOB shipping point or EXW.
- 4.2 Shipping will be arranged at clients cost and clients name, unless otherwise agreed upon during order entry.
- 4.3 Client is responsible for incidental costs such as packaging, duties, taxes, and customs.
- 4.4 Rototime will follow shipping policy set in the United States of America. Client must advise Rototime of any and all shipping differences in foreign or local regulation.
- 4.5 Delivery deadlines are projected during order entry; it may not be the actual date of delivery.
5 Receiving and check
- 5.1 Clients are bound to check received goods on delivery and notify immediately any damages within 24 hours. After 24 hours the goods are deemed received without reservation.
- 5.2 Damages to packages and loss of product in shipping are notified in writing to carrier upon receipt by the client.
6 Warranty & liability
- 6.1 Warranty start from the date the item was delivered to the client, regardless of when the product is used. In general Gearbox – 12 month, Coupling – 3 month, Gearbox repaired – 3 month. No warranty on customer modified units, R&D and prototype.

- 6.2 All disputes must be first resolved through non‑legal means between companies, and or mediated. Legal resolution in the court of law, state of Illinois, United States of America.
⚖️ Jurisdiction: All legal proceedings shall be in the state of Illinois, USA. The parties agree to attempt informal resolution or mediation before litigation.
